Representing Clients with the Purchase & Sale of Businesses

A significant portion of our practice involves representing clients with the purchase or sale of their businesses or a portion of them, which can include buying and selling 1) an entire business, 2) a membership interest in an LLC or 3) stock. We work with clients to structure purchase and sale agreements in ways that protect their interests, while striving to provide a seamless transition throughout the process. We draft and negotiate all agreements associated with purchases or sales, including asset purchase agreements, noncompete agreements, employment contracts, and assignment of leases, as well as host of others, to ensure all facets of a business are transferred properly. The larger, more complex transactions often trigger the need for FLB’s Tax Practice to provide counsel on the tax implications of the transaction and/or address issues related to succession planning.
